Forever Green Inc. Terms and Conditions

Welcome to the Forever Green Inc. website and services. This Terms and Conditions agreement (“Agreement”) is a legally binding contract between Forever Green Inc., a South Carolina corporation, and you, the client or user (“Client,” “you,” or “your”), governing your use of our website located at https://forevergreenofcharleston.com/ and all related commercial landscape and property maintenance services. By accessing our website, obtaining a quote, or engaging our services, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement. If you do not agree to these terms, you may not use our website or services.

1. Scope of Services and Commercial Client Relationship

Forever Green Inc. provides expert commercial landscape maintenance and design services exclusively to business clients. Our services are tailored to meet the specific needs of each commercial property and include a comprehensive suite of solutions. This Agreement governs the provision of these services and establishes the foundation for our professional relationship.

Our services include, but are not limited to:

  • Commercial Landscape Design and Maintenance: Comprehensive services ranging from initial site design to ongoing upkeep, including mowing, edging, mulching, pruning, and seasonal clean-ups to ensure your property remains pristine year-round.
  • Chemical Application and Fertilization: Professional application of fertilizers, herbicides, and pesticides by licensed technicians to promote healthy plant growth, control weeds, and manage pests.
  • Irrigation and Drainage Services: Design, installation, and maintenance of advanced irrigation systems and drainage solutions to ensure efficient water usage and prevent property damage from excess water.
  • Hardscape Design and Installation: Creation of functional and aesthetically pleasing hardscape elements such as walkways, patios, retaining walls, and outdoor features that complement your commercial landscape.
  • Commercial Landscape Lighting: Custom design and installation of low-voltage lighting systems to enhance security, improve visibility, and highlight architectural and landscape features.
  • Tree Services: Expert care, pruning, and removal of trees to maintain the health and safety of your property.

All services are subject to a separate, written service agreement or contract (“Service Contract”) that will outline specific project details, timelines, and pricing. In the event of a conflict between this Agreement and a signed Service Contract, the terms of the Service Contract will take precedence.

2. Website Use, Intellectual Property, and Disclaimers

2.1 Website Content: All content on this website, including all text, images, logos, graphics, designs, and videos, is the intellectual property of Forever Green Inc. or its content suppliers and is protected by United States and international copyright laws. You may not reproduce, modify, distribute, or otherwise use any content from this site for commercial purposes without our prior written consent. The Forever Green Inc. name and logo are registered trademarks and may not be used without our explicit permission.

2.2 Acceptable Use: You agree to use our website for lawful purposes only. You are strictly prohibited from using the site to post, upload, or transmit any content that is threatening, defamatory, obscene, harassing, or otherwise unlawful. You may not use the website in any way that could damage, disable, or impair the site or interfere with any other party’s use of it.

3. Commercial Services Agreement

3.1 Quoting and Contracts: All prospective services begin with a detailed quote provided by a Forever Green Inc. representative. A quote is an estimate and does not constitute a binding contract. Services will only be scheduled and performed upon the execution of a formal, written Service Contract that has been signed by both parties. This Service Contract will specify the scope of work, project timeline, cost, and any special terms related to the project.

3.2 Client Responsibilities and Site Access: As a client, you are responsible for ensuring that the service area is accessible, free of debris, and safe for our crew and equipment. This includes, but is not limited to, unlocking gates, securing pets, notifying us of any underground hazards (e.g., unmarked utility lines, septic systems), and ensuring vehicles or other obstacles do not impede our work. Forever Green Inc. is not liable for damage to property or utilities that were not properly marked or disclosed by the client. The client agrees to provide our team with unobstructed access to the property during normal business hours (8:00 AM to 5:00 PM, Monday through Friday) unless otherwise agreed upon.

3.3 Chemical Application and Fertilization: Our chemical application and fertilization services are performed by licensed professionals in compliance with all state and federal regulations. Clients will be provided with a notification before the application. It is the client’s sole responsibility to ensure that all pets, people, and non-essential items are cleared from the area for the duration of the application and for the recommended re-entry period specified by our technicians. Forever Green Inc. assumes no liability for injury to any person or animal or damage to property resulting from the client’s failure to follow these instructions.

4. Payment Terms, Billing, and Disputes

4.1 Payment: Unless otherwise specified in the Service Contract, a deposit may be required to initiate work. The remaining balance is due upon completion of the services. For ongoing maintenance contracts, payment is due on a predetermined schedule, such as the first of each month. Invoices will be sent to the billing contact specified in the Service Contract.

4.2 Late Fees: Invoices not paid within 30 days of the due date will be considered past due. A late fee of 1.5% per month (or the maximum amount permitted by law) will be applied to the outstanding balance. Forever Green Inc. reserves the right to suspend or terminate services for any account with a past-due balance, and the client will be responsible for all costs of collection, including legal fees and court costs.

4.3 Disputed Charges: If you believe a charge is incorrect, you must notify Forever Green Inc. in writing within 15 days of receiving the invoice. Failure to do so will waive your right to dispute the charge. Disputed charges that are later determined to be valid will be subject to late fees from the original due date.

5. Limitation of Liability and Indemnification

5.1 Limitation of Liability: To the fullest extent permitted by law, Forever Green Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business interruption, arising from or in connection with the use of our services or website, regardless of the cause of action. Our total cumulative liability for any and all claims related to our services shall not exceed the total amount paid by the client to Forever Green Inc. for the specific services that are the subject of the claim.

5.2 Indemnification: You agree to indemnify, defend, and hold harmless Forever Green Inc. and its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of our services, any breach of this Agreement, or any violation of applicable laws.

6. Termination

This Agreement may be terminated by either party upon 30 days’ written notice. Forever Green Inc. may terminate this Agreement immediately without notice if the client breaches any material term of this Agreement, including non-payment. Upon termination, the client agrees to pay all outstanding balances for services rendered.

7. Dispute Resolution and Governing Law

Any dispute or claim arising from or relating to this Agreement, including any Service Contract, shall be resolved through negotiation in good faith between the parties. If an amicable resolution cannot be reached, the dispute shall be submitted to mediation. If mediation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Charleston, South Carolina.

This Agreement is governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles.

8. General Provisions

8.1 Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

8.2 Entire Agreement: This Agreement, along with any executed Service Contracts, constitutes the entire agreement between you and Forever Green Inc. and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

8.3 No Waiver: The failure of Forever Green Inc. to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

8.4 Updates and Modifications: Forever Green Inc. reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective upon posting the revised Agreement on our website. Your continued use of our services after such changes constitutes your acceptance of the new terms.
